IFC tax incentives are the headline attraction of Vietnam’s international financial centre, and also the area where careless planning does the most damage. Resolution 222/2025/QH15 established preferential tax treatment as one of the centre’s special mechanisms; the detailed regime is being built out through implementing decrees. Where IFC tax incentives sit in the framework
Resolution 222 lists preferential tax policy alongside foreign exchange, employment, land and infrastructure support as the package designed to attract capital and institutions. Decree 323/2025/ND-CP then ties benefit to the priority sector list: infrastructure for the centre itself, green and ESG-linked finance, commodities and international trade finance, fintech and innovation, funds and asset management, and professional support services.
The practical implication is that qualifying for IFC tax incentives is an activity question before it is a rate question. An institution whose licensed business sits squarely inside a priority category is in a far stronger position than one whose activities straddle the boundary.

1. What sits inside the perimeter?
Income earned by a licensed member from licensed activity inside the centre is what the special regime is designed to reach. Income from activities outside the perimeter follows ordinary Vietnamese tax rules. 2. Does substance match the claim?
Every incentive regime worldwide has converged on substance: real people, real decisions, real premises. The centre’s functional zones and its employment mechanisms exist precisely so members can build that substance locally. Thin structures claiming rich benefits are the profile that attracts scrutiny, in Vietnam as elsewhere.

3. How does the incentive interact with the rest of the group?
A low Vietnamese rate is only useful if the benefit survives repatriation and the group’s home-country rules. Withholding on dividends, treaty access from the chosen holding jurisdiction, and global minimum tax positions all bear on the net outcome. The structuring conversation belongs with tax and legal counsel together, before the member entity is incorporated.
IFC tax incentives do not remove compliance obligations
Preferential treatment is not exemption from the filing calendar. Documenting the position from day one
The difference between an incentive that survives inspection and one that is withdrawn is almost always documentation created contemporaneously rather than reconstructed later. Four files carry the weight. A licence and activity file showing exactly which permitted category each revenue stream falls into. A substance file recording premises, headcount, board meetings held in Vietnam and the decisions actually taken there. An intercompany file with signed agreements predating the flows they govern, supported by benchmarking. And an annual eligibility memorandum confirming that the conditions attaching to the incentive were met in that specific year.
Groups that maintain those four files treat an inspection as an administrative exercise. Groups that do not spend the inspection reconstructing history from emails, and negotiate from a weak position because the burden of proof sits with the taxpayer.
