Nguyen Trung Nghia
Hanoi & Ho Chi Minh City
Advising investors on M&A, capital markets, restructuring and IPOs across Vietnam for years.
“A sound decision does not only shape a business’s immediate success — it is the solid foundation that allows the business to grow sustainably, overcome challenges and seize opportunities in an ever-changing economy.”
— Nguyen Trung Nghia, Founder & Partner
Nguyen Trung Nghia in Brief
Nguyen Trung Nghia is the Founder & Partner of IVLF Advisors LLC, the Vietnam-based legal, tax, finance and investment advisory firm he established in February 2022. With many years in practice, he advises foreign investors, corporate groups and financial institutions on foreign direct investment, mergers & acquisitions, corporate restructuring, banking & finance and capital markets transactions across Vietnam.
Before founding IVLF, Nghia practised for years at leading business law firms in Vietnam, including YKVN and Indochine Counsel, working on some of the market’s most demanding corporate and finance mandates. That training shapes how IVLF runs matters today: international-standard execution paired with a practical command of Vietnamese regulators, licensing practice and local market behaviour.
His representative work includes structuring one of Vietnam’s first real estate crowdfunding transactions, advising a technology group on a VND 500 billion debt-for-equity swap and corporate restructuring, and leading cross-border technology M&A for international investors such as Kazoo Technology (Hong Kong). He is a trusted adviser to corporate groups including Meey Group, VMO Holdings and ItechWx, and writes regularly on offshore IPO structuring and foreign-ownership-limit compliance for Vietnamese issuers.
Under his leadership, IVLF Advisors was named “Best Investment Banking & Finance Advisory 2025 – Vietnam” at the APAC Insider Business Awards — following his earlier recognition as “Most Innovative Legal Advisor 2023” at the APAC Legal Awards.

Why clients work with Nguyen Trung Nghia

Clients typically come to Nguyen Trung Nghia with matters where the legal question and the financial question cannot be separated: an acquisition whose price depends on how a tax exposure is allocated, a restructuring that must satisfy both creditors and licensing authorities, an offshore listing that has to respect Vietnamese foreign-ownership limits. His background across law firms and financial advisory work means the answer arrives as one integrated recommendation rather than a stack of separate opinions.
The working style is direct. Nguyen Trung Nghia leads negotiations personally, drafts in plain language, and gives clients a candid view of risk – including when the best advice is not to do the deal. Engagements are scoped and priced in writing before work begins, and matters are staffed with a deliberately small team so decisions move quickly. For founders and investors who want a senior adviser on the phone rather than a hierarchy to navigate, that is the reason they stay.
