A US listing Vietnam companies consider is rarely a simple choice. The route depends on where revenue comes from, how the group is held, who the target investors are and how much restructuring the founders accept.
An offshore holding company with ADSs is the most common structure for growth companies that want US institutional investors, but it requires an offshore restructuring and a careful review of Vietnamese ownership, tax and foreign exchange consequences. Depositary receipts over shares of the Vietnamese company avoid the offshore layer, but depend on Vietnamese securities rules and regulator practice. A SPAC merger can be faster, at the cost of dilution and market risk. A local listing or staying private are realistic alternatives where the business is mainly Vietnamese.
The route finder gives a first ranking, not an answer. Read our guides on the depositary and ADS structure, ADS holder rights and ADS deposit agreement risk allocation, and check legal texts in the national legal documents database.
