PPP BOT Construction Contract Vietnam: Rules for Sponsors and Lenders

PPP BOT Construction Contract Vietnam: Rules for Sponsors and Lenders

Updated: 22 October 2026 · IVLF Advisors

On a build-operate-transfer project, the lenders’ real collateral is a construction contract that must deliver on time and on budget while the public-sector rules that govern it have just been rewritten. A PPP BOT construction contract Vietnam sponsors and banks rely on therefore has to satisfy three audiences at once: the concession grantor, the financiers and the contractor, each reading the same document for different risks.

This article is for sponsors, lenders and EPC contractors. It explains where the construction contract sits in a public-private partnership structure, which provisions of Decree 210/2026/NĐ-CP and the Law on Construction apply specifically to public investment and PPP projects, and how to draft around them. The Law on Public-Private Partnership is named here but not analysed. Typical PPP and BOT assets include expressways, airport terminals and ports, and the same contract questions arise for energy and urban projects.

Where the PPP BOT construction contract Vietnam fits in the project structure

A BOT or other PPP transaction typically involves a concession-type agreement between the competent authority and a project company, financing agreements between the project company and lenders, and a construction contract between the project company and the contractor. In market practice the construction contract is an EPC or turnkey agreement, because lenders want a single point of responsibility for cost, schedule and performance.

Decree 210 classifies contracts by nature (including EPC and turnkey), by price form and by relationship. The EPC, EC, EP and turnkey types are the ones most relevant to BOT projects. For these types the decree contemplates uniform control over design, scope and price, requires the contractor to bear full responsibility for design and equipment, and links payment to milestones.

The decree’s rules for “public investment and PPP projects” are written with the project in mind. Whether and how each of them applies to the contract between a private project company and its contractor, as opposed to the contract between the authority and the investor, should be confirmed against the text of the decree and the PPP legislation for the particular structure. We therefore use the term “public investment and PPP rules” below and flag each time that private projects follow party agreement instead.

Why a PPP BOT construction contract Vietnam lenders will finance needs more than a standard form

FIDIC forms are widely used as the base for these contracts, but a form is a starting point. The FIDIC 1999 Silver Book, for example, adjusts the contract price for changes in the laws of the country made after the base date (sub-clause 13.7), which is the sort of risk transfer that lenders and concession grantors will want to align with the project agreement. Under Vietnamese law, a change in State policy or legislation is also a recognised ground for amending a construction contract (Article 84(2) of the Law on Construction), so the two regimes should be read together.

The question for a PPP is whether the contractor’s relief for change in law matches the project company’s relief under the concession, so that a risk compensated upstream is not left uncompensated downstream.

Rules that apply to public investment and PPP projects only

Many of the “hard numbers” in the 2026 framework apply only to public investment and PPP projects. For private-capital contracts the parties agree. The table sets out the main figures.

Topic Public investment and PPP rule Private project
Advance payment ceiling 30% of contract price at signing (including contingency); more needs the investment decision-maker’s permission Agreed by the parties
Minimum advance Works: 10% (above VND 50bn), 15% (VND 10-50bn), 20% (below VND 10bn); EPC, turnkey and supply: 10% Agreed by the parties
Advance guarantee Required above VND 1bn Agreed by the parties
Payment period Maximum 14 working days from a complete valid dossier Agreed by the parties
Suspension for non-payment After 28 days past due date, unless agreed otherwise Agreed by the parties
Penalty cap 12% of the value of the breached part of the contract Agreed by the parties, within general law
Final account / liquidation 60 days (120 if large or complex) / 45 days (90 if large or complex) Agreed by the parties

The minimum advance rates and the 30% ceiling come from Decree 210 and are described in more detail in our article on Decree 210/2026 and Vietnamese construction contracts. Note also that for public investment and PPP contracts, an advance above the minimum rate does not benefit from price adjustment on the corresponding part of the contract price from the date of the advance.

Security and financial capacity in a PPP BOT construction contract Vietnam

Article 83 of the Law on Construction allows the contractor to require the employer to prove its financial capacity or provide payment security, but not on public investment contracts. On our reading, that exception is confined to public investment contracts and does not extend to PPP contracts, and Decree 210 adds a specific PPP requirement: the employer demonstrates its financial capacity through a credit contract or loan agreement with a financial institution.

For lenders, this is helpful. The financing documents that satisfy the lenders’ conditions precedent also satisfy the contractor’s statutory entitlement to see evidence of funding. For contractors, it provides a basis to request financing evidence early rather than relying on a sponsor guarantee.

On the contractor’s side, Decree 210 sets the performance security for public investment and PPP contracts at between 2% and 10% of the contract price, with a higher percentage possible under the bidding law. The security is not returned if the contractor refuses to perform after the contract takes effect, if it is late through its own fault and then declines to extend the security’s validity, or in other cases agreed in the contract. It is released once the contractor has completed its obligations or moved to the warranty period and provided warranty security.

Warranty security levels follow the decree on construction quality, execution and maintenance, which sets the detailed levels.

Amendments, delay and the investment decision-maker

PPP construction contracts are long, and change is inevitable. The Law on Construction requires amendments to be in writing. For public investment and PPP projects it adds approval layers.

  • Time: if an extension of the contract would push beyond the approved project duration, the investor must report to the investment decision-maker and obtain a decision on the project duration before the parties agree the contract schedule change.
  • Price: an amendment that exceeds the package price (including contingency) but stays within the total investment may be decided by the investor; one that changes the investment objective or scale or exceeds the total investment falls outside the investor’s own power to decide.
  • Dossier changes: if an amendment forces changes to the investment policy, feasibility study, design or total investment, the employer must make those changes before signing the amendment.
  • Timing of replies: a written proposal to amend must be answered within seven working days, with reasons if the answer is a refusal.
  • Unresolved negotiations: if the parties cannot agree an amendment, the employer must act under the bidding legislation.

The practical lesson is that a PPP project’s schedule and budget are not purely commercial variables. The contractor’s entitlement to extra time or money is only as secure as the employer’s ability to obtain the necessary approvals, so claims procedures should include the employer’s duty to start the approval process promptly.

Force majeure, fundamental change of circumstances and extraordinary price movements

Article 13 of the Law on Construction lists force majeure events, including natural disasters, epidemics, strikes and states of emergency, and fundamental changes of circumstances, including changes in State policy or law and unforeseeable abnormal geological conditions. Whether a given event qualifies must be tested against the Civil Code conditions (Articles 156 and 420), which the Law expressly incorporates.

For a PPP investor, the interplay with the concession is critical. The decree provides that, when extraordinary price movements beyond forecasting cause serious loss, the parties analyse the impact against the signing date, compare the losses of continuing against terminating, and share risk in a balanced way. On public investment and PPP projects, the employer’s amendment powers in these cases are limited by the principle that the investment objective and scale do not change and the total investment is not exceeded.

Termination, suspension and step-in: lender-sensitive provisions

Decree 210 sets a statutory baseline for serious breach. These include unconsented assignment of the contract, the contractor’s refusal or failure to work for 56 consecutive days, work stopped for more than 56 days through the employer’s fault, and the employer’s failure to pay for more than 56 days after the due date, unless the parties agree otherwise. A party that terminates must give notice (28 days unless otherwise agreed, except for force majeure), explaining the reasons, or risk paying damages.

In project finance terms, the 56-day and 28-day periods are a baseline that the finance documents and the direct agreement should override or supplement, for example by giving lenders cure rights and a period to nominate a replacement contractor before the project company can terminate. Note also that an assignment of the construction contract without consent is a listed serious breach, so lender security over construction contract receivables and step-in rights must be structured with the counterparty’s consent, a point that mirrors FIDIC 1999 sub-clause 1.7.

The contractor’s obligations to leave site and the employer’s rights to use completed work after termination should also be agreed. Where the parties cannot agree on removing materials and equipment, the decree gives the decision to the employer.

Disputes in a PPP BOT construction contract Vietnam

The Law on Construction allows negotiation, mediation, dispute boards following international practice, arbitration or the courts. For public investment and PPP projects, if arbitration is chosen, domestic arbitration institutions are preferred. International dispute-board models are used where an international treaty requires it, or where the investment decision-maker permits and the contract provides. The employer’s dispute costs are treated as part of total investment.

Foreign sponsors often prefer offshore arbitration. Institutions such as SIAC are commonly considered in the region; whether such a choice is available in a given PPP structure depends on the investment decision-maker’s permission and the concession terms. Parties should resolve this before signing, not at the dispute stage.

Contracts should require work to continue during a dispute except in listed cases such as force majeure or a lawful suspension, which is the default position in Decree 210.

Transitional rules and the joint venture dimension

For public investment and PPP, Decree 210 provides that contracts signed and being performed before 1 July 2026 continue under the rules in force before that date, subject to a specific exception in the Law on Construction. Tender documents already approved but not issued should be reviewed for conformity, and those already issued may be changed only with notice to all bidders. If a contractor group has already bid, the structure of its consortium matters; see our article on joint ventures of contractors in construction bidding.

For other projects, parties to an existing contract may agree to apply Decree 210; failing agreement, the rules at the date of signing apply.

Drafting checklist for sponsors and lenders

  • Align regimes: map the concession terms on change in law, force majeure and delay against the construction contract, so that relief upstream matches relief downstream.
  • Price form: choose lump-sum, fixed unit rate or adjustable rate deliberately; for a lump-sum EPC price, remember that Decree 210 treats the price as fixed except for force majeure, fundamental change of circumstances, change of scope and agreed adjustments.
  • Funding evidence: attach credit or loan documentation as the decree requires for the PPP employer.
  • Approvals map: list the approvals the employer needs before an amendment can be signed, and a timetable for obtaining them.
  • Security: performance, advance payment and warranty security with release conditions that match the project’s milestones.
  • Currency: payment is in Vietnamese dong under the Law on Construction, with foreign currency only in line with foreign exchange law, so confirm how foreign-currency equipment supply is priced and paid.
  • Direct agreement: lender step-in and cure rights consistent with the termination baseline.

The text of the Law on Construction is available at hethongphapluat.com.

A hypothetical example: a toll-road BOT project company signs a lump-sum EPC contract and later faces an unforeseen geological condition. If the contract does not provide for the employer to seek approval for a longer project duration, the contractor’s extension may be agreed in principle but not implementable without a decision from the investment decision-maker.

How a PPP BOT Construction Contract Vietnam Works Across Project Types: Infrastructure, Industry, Energy and Real Estate

Not every large project is a PPP. The first question in any sector is whether the project is public investment or PPP, because that decides whether the hard numbers of Decree 210/2026 apply or whether the parties’ agreement governs. Classification depends on funding source and project structure.

Infrastructure and transport

Expressways, ports, metro lines, high-speed rail stations and airport terminals owned by the State or a State-owned enterprise are often public investment or PPP. The North-South high-speed railway is reported at about 1,541 km through 15 provinces and cities at a design speed of 350 km/h (VietNamNet, 9 October 2026); how any package of it is procured or financed is not something this article states.

For the Long Thanh airport, phase 1 commercial operation is expected from 24 December 2026 per press reports. On these assets, check advance-payment caps, payment periods and suspension rights against Decree 210, and align them with the concession or project agreement.

Heavy industry and factories

Steel, petrochemical, cement and FDI factory projects are normally private. A BOT structure is unusual, so Decree 210’s public-sector figures should not be assumed; the contract follows party agreement. Lenders to industrial projects should still insist on security and delay terms mirrored from what they would accept in a PPP.

Renewable energy and power

Solar, wind, grid and LNG or gas-to-power projects can involve State-owned counterparties, power-purchase arrangements or concession-type features. Whether the construction contract falls under the public-investment and PPP rules depends on ownership and the PPA structure, and is fact-specific. Lenders should obtain legal confirmation before assuming either regime.

Real estate and urban projects

Hotels, resorts, urban areas and mixed-use complexes are generally private and follow party agreement under Article 87 of the Law on Construction, although a developer may build public facilities as part of a larger arrangement. The land and real-estate regime governs the asset and is outside this article.

Sector Typical PPP/BOT feature What to check in the construction contract
Transport infrastructure Often State-owned or PPP Decree 210 figures, concession alignment, step-in
Heavy industry Usually private Party agreement, lender security package
Energy and power PPA or State counterparty Regime classification, delay and termination links to PPA
Real estate Private, occasional public facilities Which part, if any, is public investment

Conclusion

A PPP BOT construction contract Vietnam financiers will accept is built backwards from the concession, the finance documents and the 2026 public investment and PPP rules, with each approval, security and termination mechanism mapped in advance. The practical next step is a gap review: compare your draft EPC contract against Decree 210’s PPP-specific provisions and the project agreement, and resolve mismatches before financial close.
